KOHEN / OWNERSHIP & PARTNERSHIPS

Move beyond introductions. Build lasting economic participation.

KOHEN PLATFORM aims to develop ownership, equity participation and strategic partnerships across global industries. Each opportunity is assessed for control rights, valuation, capital requirements, governance, operating capability, downside protection and exit options.

OWNERSHIP MODELS

Four routes to economic participation

Not every opportunity requires the same structure. The right model depends on the asset, partners, capital, jurisdiction, regulatory framework and intended level of control.

Direct Equity

Acquire shares or assets directly through an appropriately capitalised KOHEN entity or investment vehicle.

Joint Ventures

Establish a jointly owned company with defined shareholder rights, capital commitments, governance, reserved matters and exit provisions.

Fund Investments

Participate through a suitable authorised fund or investment vehicle with clear investment policy, custody and investor protections.

Acquisitions & Holding Companies

Acquire controlling or minority interests and organise them under a holding structure with appropriate legal, tax and governance arrangements.

SECTOR-INDEPENDENT

Ownership opportunities across every industry

The platform can evaluate opportunities in semiconductors, AI, satellites, aerospace, shipping, energy, mining, agriculture, food production, healthcare, media, advertising, manufacturing, infrastructure and other sectors. Sector breadth does not remove the need for specialist diligence.

INVESTMENT DISCIPLINE

Ownership must be earned through due diligence

A headline valuation or projected return is not enough. KOHEN should require evidence of title, beneficial ownership, audited or reliable financial information, liabilities, customer contracts, permits, technical condition, management quality and a credible route to value creation.

Commercial

Market demand, customers, suppliers, competitive position and operating economics.

Financial

Revenue quality, EBITDA, cash flow, debt, working capital, capex and downside scenarios.

Legal & Regulatory

Title, licences, litigation, sanctions, ownership restrictions, permits and change-of-control requirements.

Governance & Exit

Board rights, reserved matters, reporting, dilution, distributions, transfer restrictions and exit routes.

VALUE CREATION

Capital plus capability

KOHEN's ambition is to contribute more than capital. Depending on the transaction, value creation may include financing strategy, international partnerships, procurement, governance, management reporting, expansion planning and access to specialist expertise.

This page describes a strategic investment objective, not a representation that KOHEN currently owns the listed assets or has committed capital for any particular acquisition. Investments are subject to due diligence, funding, approvals and definitive agreements.
