OUR COMMERCIAL ROLE

Capital preparation connected to real business.

KOHEN PLATFORM supports companies, project sponsors, buyers and suppliers in turning commercial requirements into structured, reviewable opportunities. Our work connects international trade, industrial procurement, major projects and financial preparation. A credible requirement, verified authority and a clear execution route come before capital outreach.

Engagements may concern a KOHEN-developed opportunity or an independently owned third-party business or project. Our exact role, deliverables, permissions and fees are agreed in writing. We distinguish preparation and coordination from credit approval, investment decisions and regulated execution.

FINANCE / CAPITAL / BANKING

Six connected areas of work.

Corporate Capital Strategy

Assess the purpose of capital, ownership structure, proposed use of funds, cash-flow profile and repayment or return logic. Compare the commercial implications of debt, equity, joint ventures and phased development without assuming that every business is ready for fundraising.

Project Finance Preparation

Organise sponsor information, feasibility evidence, development status, capital expenditure, operating assumptions, permits and commercial contracts into a coherent financing brief. Identify dependencies between procurement, construction, completion and the operating phase.

Trade & Working Capital

Map the buyer–supplier transaction, order cycle, delivery obligations, payment timing and working-capital gap. Prepare the commercial information that a bank or specialist provider may request when considering a trade transaction.

Banking Coordination

Help the client organise corporate documentation, authority, transaction purpose and operational banking requirements. Coordinate information requests with the client’s selected institutions and professional advisers; account opening and banking services remain the institution’s decision.

Capital Provider Research

Build a research shortlist across banks, private-credit providers, family offices, development finance institutions, export-credit channels and strategic investors. Screen potential fit by geography, sector, stage, ticket size, instrument and security requirements.

IPO & Public-Market Readiness

Review the business foundations behind a possible listing: governance, ownership, financial reporting, equity story, management capability and adviser readiness. Develop an initial gap map before the company commits to a market, timetable or transaction structure.

CAPITAL STRUCTURES / DEBT / EQUITY / INVESTMENT

Choose the capital structure that fits the business.

Financing is not one product. The capital solution should reflect the company’s cash flows, asset base, ownership objectives, risk profile, development stage and ability to service or return capital. KOHEN helps organise the analysis and transaction brief; lending, underwriting, investment decisions and regulated arranging remain with appropriately authorised institutions and professionals.

Corporate & Syndicated Lending

Corporate facilities, bilateral and syndicated debt, working capital, term loans, refinancing and asset-backed structures.

Private Credit & Structured Debt

Senior secured lending, mezzanine capital, bridge finance, acquisition debt and special-situation funding, subject to provider mandate and underwriting.

Equity & Joint Ventures

Growth equity, strategic investors, co-investment, preferred equity and joint-venture structures for companies and major projects.

Project & Infrastructure Finance

Financing architecture for energy, mining, AI data centres, transport, manufacturing and other capital-intensive assets.

Acquisition & M&A Finance

Capital planning for company and asset acquisitions, buy-outs, strategic combinations and post-acquisition development.

Capital Markets & IPO Readiness

Pre-listing preparation, equity story, governance, financial reporting and coordination with appointed capital-markets advisers.

GLOBAL INDUSTRY & INFRASTRUCTURE

Large projects require an executable structure.

Our project scope connects energy and power systems, AI and data centres, industrial facilities, mining and metals, transport, logistics and other substantial infrastructure opportunities. We approach scale through evidence and staged decisions rather than headline project values.

Sponsor & Project Foundation

Identify the project owner, sponsor, decision makers, jurisdiction and legal entities. Establish what is owned, what is contracted and which rights, permits or agreements remain outstanding.

Commercial & Technical Interfaces

Connect demand, supply, procurement, construction and operating assumptions. Clarify the status of offtake, supplier quotations, technical studies and independent adviser work; record unverified assumptions explicitly.

Funding & Delivery Logic

Separate development spending from construction and operating needs. Map sponsor equity, proposed external capital, milestone timing, contingencies and the contractual responsibilities needed to proceed.

PROJECT FINANCIAL SYSTEMS

A financial structure that management can use.

For an agreed project mandate, KOHEN can help organise the financial planning and reporting framework around the actual project schedule. The scope can range from an initial review to a coordinated management reporting workstream.

Planning Architecture

Sources and uses of funds; capital expenditure by work package; operating-cost categories; working-capital cycles; milestone payment schedules; responsibilities for updating assumptions.

Commercial Scenarios

Base, downside and alternative development cases; sensitivity to timing, demand, prices, input costs and exchange-rate assumptions. Financial scenarios are decision-support tools, not forecasts of guaranteed outcomes.

Reporting & Control

Budget-versus-actual tracking, commitments, payment status, cash requirements, exceptions and management decisions. Establish document ownership, revision control and an agreed reporting cadence.

MEASUREMENT & GATEKEEPER

A decision gate before capital outreach.

Our assessment work is designed to expose gaps early, protect management time and provide a traceable basis for the next commercial decision. A review may result in proceed, proceed with conditions, further evidence required or decline.

  1. Identity & authority: corporate identity, ownership information, signatory authority and the origin of the mandate.
  2. Commercial substance: the underlying business, customer demand, transaction purpose and counterparties.
  3. Project readiness: stage, rights, technical evidence, contracts and unresolved delivery dependencies.
  4. Financial coherence: funding amount, use of proceeds, sponsor contribution, cash-flow logic and supporting assumptions.
  5. Risk & specialist review: country, sector, counterparty and transaction issues requiring appropriate legal, technical or compliance input.
  6. Decision & conditions: written findings, evidence gaps, responsible owners and the conditions for progressing.

Ownership and authority checks support commercial screening. They do not replace legal title opinions, statutory due diligence or an institution’s independent onboarding.

IPO & GLOBAL EXCHANGES

Prepare the company before pursuing a listing.

A public listing is a corporate transformation and a specialist transaction. KOHEN’s role is to help organise early readiness, commercial positioning and coordination. Exchange selection, eligibility, securities documentation and regulated transaction work require the relevant appointed professionals.

01 / Business & Equity Story

Define the business model, competitive position, growth plan, use of proceeds and the commercial evidence supporting the proposed investment narrative. Separate achieved performance from management targets.

02 / Ownership & Governance

Organise group structure, capitalisation, shareholder records, beneficial ownership information, related-party matters and decision authority for review by the company’s advisers.

03 / Financial Reporting

Map reporting history, audit status, accounting policies, forecasting processes and finance-team capacity. Identify work that must be led by auditors and reporting specialists.

04 / Market & Route Research

Compare potential market routes at a preliminary level against the issuer’s geography, business profile, scale, investor audience and readiness. Current market requirements must be checked by qualified advisers before a route is selected.

05 / Adviser & Data-Room Readiness

Prepare a structured introduction brief and document index for discussions with legal counsel, auditors, corporate-finance advisers and other authorised specialists. Track appointments, responsibilities and open questions.

06 / Readiness Roadmap

Produce a prioritised action plan covering governance, reporting, documentation and commercial presentation. Establish dependencies and decision points before setting an indicative timetable.

Listing clarity

KOHEN does not operate an exchange, underwrite securities or guarantee admission, valuation, subscriptions or liquidity. A readiness review does not constitute an offer of securities or personalised investment advice.

ENGAGEMENT PROCESS

From initial brief to a defined mandate.

  1. Initial enquiry: send a concise, non-confidential summary of the company or project and the support required.
  2. Fit assessment: review sector, jurisdiction, stage, authority and whether the requirement fits our commercial scope.
  3. Scope & agreement: agree the work, deliverables, exclusions, client responsibilities, confidentiality arrangements and fees.
  4. Evidence & preparation: organise documentation, analyse gaps and prepare the agreed materials.
  5. Authorised coordination: where included in the mandate, coordinate introductions or information exchange with suitable counterparties and specialist advisers.
  6. Management review: report progress, unresolved risks, external decisions and recommended next actions.

Information is shared with third parties only within the agreed mandate and permission framework. An introduction is not an approval, commitment or assurance of financing.
